Terms of Service
These terms apply to the use of this website and to quotations, samples and orders placed with Foshan Lingzhan Media (brand: MIDHILL / Rosy Rose), Foshan, China.
Quotations and orders
Quotations are issued for business-to-business supply and are valid for 30 days unless stated otherwise. Prices are quoted FOB, CIF, CFR or DDP as specified in writing. An order is confirmed once the deposit is received and the drawings, finishes and specifications are approved in writing by the buyer.
Samples, customisation and tooling
Made-to-order dimensions, finishes, upholstery and private-label branding are produced to the approved specification sheet. Sample charges are credited against the first container order where agreed in writing. Custom tooling and moulds remain the property of the manufacturer unless ownership is expressly transferred in the sales contract.
Lead time, shipping and risk
Lead times run from deposit receipt and drawing approval and are estimates given in good faith. Title and risk pass according to the agreed Incoterm. The buyer is responsible for import duties, taxes and destination clearance unless DDP terms are agreed.
Warranty
Products carry a 10-year structural warranty and a 2-year surface finish warranty against manufacturing defects under normal commercial use. Wear from improper handling, unauthorised repair, extreme humidity or unsuitable cleaning agents is excluded. Warranty claims are handled with replacement parts, repair or credit at our discretion.
Intellectual property
Site text, product photography, factory footage, drawings and 3D files remain our intellectual property or that of our licensors. They may be used by dealers and specifiers for the purpose of promoting and specifying our products, and may not be resold or presented as third-party work.
Confidentiality and liability
Project specifications, pricing and client names shared between the parties are treated as confidential. Our liability is limited to the value of the affected goods; indirect or consequential losses are excluded.
Governing terms
These terms are governed by the laws of the People’s Republic of China. Disputes are settled through friendly negotiation, and failing that, by arbitration or the competent court at the place of contract performance.
